The following notice describes personal information that is collected and used and the purposes it is used for, parties who your personal information is shared with, how long such personal information is retained for and legal grounds for processing your personal information.

General

Urban Science operates the proprietary application for the manufacturer (“Manufacturer”) who authorized you to use this application (“Application”). The Manufacturer is the data controller for personal information contained in the Application and processed in relation to the use of the Application. Being a data controller means that the Manufacturer is responsible for deciding that this information is collected and how it is used and for what purposes. Contact the Manufacturer for details. If you need assistance with contacting the Manufacturer, you may contact Urban Science at privacy@urbanscience.com.

Urban Science processes such personal information as a data processor on the Manufacturer’s behalf. The latter processes and uses such information for and within the scope of the performance and monitoring of the dealership agreement (1) to which you are a party; or (2) to which the entity on whose behalf you are acting is a party; or (3) for which you have been authorized by the Manufacturer. depending on the Urban Science company being the contract partner of the license agreement, which you or the company for whom you act has entered into.

Login Information

Access to the Application requires you to login. As part of the login setup process, Urban Science, collects the following personal information about you: user ID, password, first/last name, as well as business email address, and phone number (“Login information”) which it has obtained from the Manufacturer. This Login information is used to allow you to login/access the Application, or to allow Urban Science to communicate with you to resolve technical issues, or to respond to requests, complaints, or comments you may provide. The processing of this information is necessary for the performance of the license agreement for the Application to which you or the entity on whose behalf you are acting is party or for which you have been authorized to use the Application (Art. 6 (1) lit. b, f GPDR). A failure to provide such information does prevent you from using the Application.

This information is used only by Urban Science group companies and by data center colocation service providers engaged by us in accordance with applicable data protection law, and is not used for any other purposes. Urban Science utilizes a global IT Operations team to support IT services for both clients and internal Urban Science systems. IT Operations Team members are located around the globe in order to provide 24 x 7 support. IT Operations access is only granted as appropriate to provide technical support and execute system maintenance. The global IT Operations team includes personnel employed with the following Urban Science group companies located outside the European Union, which have entered into EU Standard Contractual Clauses agreements (Commission Decision (EU) 2021/914) for the protection of personal data.

Urban Science stores and protects login information in its authentication system to provide seamless access to the Application. Login information will be stored until the license agreement with you or the entity on whose behalf you are acting or for which you have been authorized ends, unless we have the legal right to retain such login information, including in relation to the defense of any potential, ongoing or anticipated legal claims regarding this license. Urban Science may analyze your usage of the Application, such as the time and date of access, pages accessed, and time spent in the Application. We may provide the results of such analysis to the Manufacturer. Urban Science may also share your email address with the Manufacturer to manage access rights and other business purposes. The legal basis for such processing is Art. 6 (1) lit. f of the GDPR (legitimate interest in administrating and optimizing the use of the application).

Application Information

The Application may contain information about yourself or about the entity on whose behalf you are acting or for which you have been authorized by the respective Manufacturer to use the Application by virtue of your or this entity’s qualification as dealer of this Manufacturer. This information has been collected and entered by us, by the Manufacturer or by yourself. This information includes: first/last name, as well as business address, city, postal code, county, country, phone, and/or email. It may contain further personal information to the extent that the following information relates to an individual person: information concerning dealer region, market, contract type, sales zone, dealer group, locality and locality code as well as UHC Code and UHC name. This information is used to provide analysis and reporting to the Manufacturer within the Application – for example, a dealer sales report sorted by sales person. This information is not disclosed by Urban Science outside of the Urban Science corporate structure, or used by Urban Science for any other purposes other than those specifically provided by the Application. The use of such information by the Manufacturer is subject to your or the entity’s for whom you are acting agreements with the Manufacturer. Following the expiration of this license agreement, we will delete all personal information held about you or the entity for whom you are acting within the Application unless we have the legal right to retain such information, including in relation to the defense of any potential, ongoing or anticipated legal claims regarding this license.

Use of Cookies

In order to make visiting our Application attractive and to enable the use of certain functions, we use so-called cookies in some areas. Cookies are files that are stored on your hard disk or in the cache of your Internet browser when you visit our Application.

Cookies are used by us to store session-relevant information within the Application. These cookies expire at the end of the session (so-called transient cookies) and are not stored permanently. Other cookies remain on your computer beyond the respective session and enable us to recognize your computer on your next visit (so-called persistent cookies). Persistent cookies are automatically deleted after a specified period of time, which may vary depending on the type of cookie.

As part of the login process we store certain login information in session cookies (user language settings, style settings, session management, security tokens, and anti-forgery tokens). Insofar as the processing of information on your end device is necessary to enable the use of the Application and you access the Application from an EU country, the storage is carried out on the basis of the corresponding national implementation regulation for Art. 5 para. 3 of the ePrivacy Directive (2002 /58/EC, amended by 2009/136/EC). Any further processing of information on your end device and any further processing of the data obtained in this way is based on your consent.

Your rights in relation to your personal information

If you have any questions in relation to our use of your personal information, please contact the Manufacturer. You may contact us using the details set out below and we will forward your request to the Manufacturer. In accordance with the applicable data protection laws (i.e. if the data protection law of a European Union member state is applicable to the processing of your personal information), you may have the right to require as the case may be:

to obtain further details on the use we make of your personal information for the Manufacturer;
to obtain an electronic copy of your personal information;
to have updated any inaccuracies in the personal information we hold for the Manufacturer;
to have transferred your personal information to another data controller, in a structured, commonly used and machine readable form;
to have deleted any personal information that the Manufacturer no longer has a legal ground to use; and
to restrict further processing of your personal information

If you have provided your consent that we process your personal information you have the right to revoke your consent at any time.

Your exercise of these data subject rights is subject to certain conditions and exemptions in accordance with applicable data protection law. The addressee for exercising such rights is the Manufacturer.

If you would like to update personal login information, if you would like to withdraw your cookie consent or if you need help in order to contact your Manufacturer, please contact us as at privacy@urbanscience.com.

If you are not satisfied with our use of your personal information or our response to you, you can complain to the contact listed above, and/or in case the data protection law of a European Union member state is applicable to the processing of your personal information and you believe that the processing of personal data relating to you infringes the EU General Data Protection Regulation to the competent data protection supervisory authority in the European Union member state of your habitual residence, your place of work or the place of the alleged infringement. The right to lodge a complaint exists without prejudice to any other administrative or judicial remedy.

II. Collection of Personal Information

Urban Science may collect the following categories of personal information when you use this Application:

Identifiers, such as first and last name, user ID, account name, password, business address, business e-mail address, phone number, and other similar identifiers;
Internet or electronic network activity information, such as Internet Protocol (IP) address and session ID;
Professional information, such as dealer group and business role; and
Location information, such as dealer region, market, sales zone, and locality.

III. How We Use Your Personal Information

Urban Science collects the personal information described above for a variety of business purposes. Urban Science may use the personal information to:

Allow us to communicate with you to resolve technical issues, or to respond to requests, complaints, or comments you may provide;
Provide this Application to manufacturers and dealers;
Improve, upgrade, or enhance this Application;
Detect security incidents, protecting against malicious, deceptive, fraudulent, or illegal activity, and prosecuting those responsible for that activity; and

In addition, Urban Science may disclose your personal information:

To our business partners regarding your use of this Application that Urban Science provides to you, for example, your usage behavior in the Application, such as the time and date of access, pages accessed and time spent in the Application, and a list of e-mail addresses of users in order to manage access rights;
To a successor organization in the event that Urban Science is involved in a transaction such as a merger, stock purchase or sale, or sale of substantially all of Urban Science’s assets;
To our subsidiaries or affiliates for responding to your request (or who may be engaged under our instruction to provide this Application on our behalf) and to third party partners whom we may engage under our instruction to provide this Application on our behalf, including, but not limited to, support services, website services, and answering user questions about this Application;
To other third parties with your consent; or
To comply with valid legal process such as a search warrant, subpoena, or court order, to protect our rights and property, or to protect the safety or security of the public, users of this Application, or of Urban Science’s services. We will disclose information when we believe in good faith that the law requires it.

V. Personal Information of Minors

Urban Science’s services are not designed for or directed at children under the age of 16 years of age. It is Urban Science’s policy not to knowingly collect or maintain information about individuals under age 16. If we learn that we have collected personal information from an individual under 13 years of age without parental consent, we will delete that information as quickly as possible. If you believe that we might have any information from or about a child under 13 years of age, please contact us at privacy@urbanscience.com.

We have no actual knowledge that we have sold or shared any personal information of individuals under 16 years of age.

VI. How We Protect Your Personal Information

We follow generally accepted security practices and procedures to protect the personal information about you from unauthorized access, use, and disclosure, and we require that our authorized service providers implement and maintain such security practices and procedures as well. Personal information is subject to reasonable administrative, technical, and physical measures to protect the confidentiality, integrity, and security of the personal information and to reduce reasonably foreseeable risks of harm to you. Nevertheless, Internet transmissions are never completely private or secure. You understand that any messages or information you send to this Application may be read or intercepted by others. VII. Retention of Your Personal Information

We will retain personal information about you for as long as it is necessary: (a) to carry out the purpose(s) for which such information was collected, (b) to comply with applicable laws, contracts, or other rules or regulations, (c) provide this Application, (d) resolve disputes, (e) establish legal defenses, (f) conduct audits, (g) pursue legitimate business purposes, (h) enforce our agreements, or (i) in accordance with our routine information storage policies and practices. Any retention will take into account the nature and purpose of the collection or use of the personal information. For example, Urban Science will retain for at least five years any data protection assessments conducted relating to the processing of your personal information.

If Urban Science deidentifies your personal information, we publicly commit to retain and use the deidentified personal information without attempting to reidentify the deidentified personal information.

VIII. Consumer Rights

This section describes the privacy rights that consumers, who are residents of certain states (“Consumers”) may have about their personal information, which is determined by applicable state law and may vary based on the Consumer’s state of residency. For information on how Consumers may contact Urban Science to exercise these rights, please see the section below entitled, “How to Submit a Request.”

If we determine that we will not delete your personal information when you request us to do so, we will inform you and tell you why we are not deleting it.

A Consumer may have the right to correct inaccurate personal information that a business maintains about the Consumer. When correcting inaccuracies, Urban Science will take into account the nature of the personal information and the purpose for processing the personal information.

A Consumer may have the right to direct a business to limit use and disclosure of sensitive personal information. Urban Science does not use or disclose sensitive personal information except as permitted under applicable law.

Right to Opt-Out of Targeted Advertising and Profiling
A Consumer may have the right to opt out of the processing of personal information by Urban Science for the purposes of targeted advertising and profiling. With regards to profiling, such right is limited to such profiling that is done in furtherance of decisions that produce legal effects or effects of similar significance. Such opt out may be available to you through an opt-out preference signal. Urban Science will process requests sent via opt-out preference signals in accordance with applicable law.

If a Consumer’s personal information is used to profile in furtherance of decisions that produce legal effects or similarly significant effects, a Consumer may have the right to question the result of the profiling, to be informed of the reason that the profiling resulted in the decision, and if feasible, to be informed of what actions the Consumer might have taken to secure a different decision and the actions the Consumer might take to secure a different decision in the future. A Consumer may have the right to review the personal information used in the profiling, and if based on inaccurate personal information, the Consumer may have the right to have the personal information corrected and the profiling decision reevaluated based on the corrected personal information.

Right to Revoke Consent
A Consumer may have the right to revoke consent a Consumer has previously given to Urban Science for processing personal information. If Urban Science makes material changes to this Privacy Policy, a Consumer may have the right to withdraw consent to any further materially different collection, processing, or transfer of previously collected personal information under the updated Privacy Policy.

A Consumer may have the right not to be discriminated or retaliated against because the Consumer exercised any of the Consumer’s rights under applicable state laws. Urban Science does not discriminate or retaliate against any Consumer for exercising any rights under applicable state laws.

Urban Science will not process personal information on the basis of a Consumer’s or a class of Consumers’ actual or perceived race, color, ethnicity, religion, national origin, sex, gender, gender identity, sexual orientation, familial status, lawful source of income, or disability in a manner that unlawfully discriminates against the Consumer or class of Consumers with respect to the offering or provision of: housing, employment, credit, or education; or the goods, services, facilities, privileges, advantages, or accommodations of any place of public accommodation.

You may submit a request as frequently as you would like, but we may not be required to respond to requests to provide personal information to you more than twice in any 12-month period. Any copy of personal information provided will be in a portable and, to the extent technically feasible, readily usable format that will allow you to transmit the personal information to another person. Urban Science may charge a reasonable fee to cover the administrative costs of complying with multiple requests in a 12-month period.

To submit a verifiable Consumer request, you will be asked to provide certain information to help us verify your identity. The information we ask you to provide to initiate a request may differ depending upon the type of request, the type, sensitivity and value of the personal information that is the subject of the request, and the risk of harm to you that may occur as a result of unauthorized access or deletion, among other factors. In certain circumstances, we may also require you to provide a written declaration that you are who you say you are. We will match the information that you provided against our internal business records to verify your request.

You may also designate an authorized agent to make sure requests on your behalf by submitting a written permission form establishing that the agent is authorized to act on your behalf (e.g., a signed power of attorney). We may require that the agent verify the agent’s own identity. A parent or legal guardian may exercise these rights on behalf of a child for whom the requestor has legal responsibility.

i) Retention of your personal information

We will retain personal information about you for as long as it is necessary: (a) to carry out the purpose(s) for which such information was collected, (b) to comply with applicable laws, contracts, or other rules or regulations, (c) provide this Application, (d) resolve disputes, (e) establish legal defenses, (f) conduct audits, (g) pursue legitimate business purposes, (h) enforce our agreements, or (i) in accordance with our routine information storage policies and practices. Any retention will take into account the nature and purpose of the collection or use of the personal information. For example, Urban Science will retain for at least five years any data protection assessments conducted relating to the processing of your personal information.

If Urban Science deidentifies your personal information, we publicly commit to retain and use the deidentified personal information without attempting to reidentify the deidentified personal information.

To submit a verifiable request, you will be asked to provide certain information to help us verify your identity. The information we ask you to provide to initiate a request may differ depending upon the type of request, the type, sensitivity, and value of the personal information that is the subject of the request, and the risk of harm to you that may occur as a result of unauthorized access or deletion, among other factors. In certain circumstances, we may also require you to provide a written declaration that you are who you say you are. We will match the information that you provide against our internal business records to verify your request.

l) Data sharing and international transfers

The information collected is used only by Urban Science group companies and by data center colocation service providers engaged by us in accordance with applicable data protection law, and is not used for any other purposes.

Urban Science utilizes a global IT Operations Team to support IT services for both clients and internal Urban Science systems. IT Operations Team members are located around the globe in order to provide 24 x 7 support. IT Operations access is only granted as appropriate to provide technical support and execute system maintenance. The global IT Operations team includes personnel employed with the Urban Science group companies.

In this sense, Urban Science may transfer some of your Personal Data for to provide you with information in accordance with your consent, as well as to other companies within the Urban Science Group and service providers located abroad, including cloud service providers or software infrastructure, in United States, Mexico, Australia and European Union.

We are committed to ensuring that the transfer of Personal Data abroad complies with the provisions of the LGPD. Therefore, Urban Science may transfer your Personal Data using data transmission through virtual access. This transfer will occur for the duration of the processing purpose of the respective personal data involved, in accordance with this Notice.

Also, we are dedicated to safeguarding your personal data in the context of international data transfers. To this end, we adhere to stringent data transmission protocols through virtual access and utilize advanced security measures such as private connections and multi-factor authentication. We require that our service providers implement data protection protocols of a similar standard.

Urban Science reserves the right to modify or amend this Notice at any time and for any reason.
